Netwrix AI Bot Terms

By using the Netwrix AI Bot (“Bot”, as defined below), a service made available by Netwrix Corporation (“Netwrix”, “we”, “us”, or “our”), to its personnel (“you”, or “your”) hereby agree to these Netwrix AI Bot Terms (“Terms”). If you do not agree to these Terms you should not use (and are not authorized to use) the Bot. By accessing, browsing, or otherwise using any aspect of the Bot, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not accept the terms and conditions of these Terms, you are not authorized to access, browse, or otherwise use the Bot. When we say “Bot” we refer to the option that we provide you to query and receive responses from (i.e., “to chat” with) a computer program that simulates and processes written human conversation. These Terms are to be read in conjunction with the Privacy Policy located at Privacy Policy | Netwrix (the “Privacy Policy”), which is hereby incorporated by reference.

Azure OpenAI

The Bot is powered by Azure OpenAI (for its AI Model, the underlying Large Language Model). Their terms, to the extent applicable to you, apply to your use of the Bot in addition to these Terms and are available at: https://www.microsoft.com/licensing/terms/productoffering/MicrosoftAzure/MCA#ServiceSpecificTerms. We are not affiliated with Microsoft.

Access to the Bot

When prompted, you are required to use the email address issued to you by Netwrix in order to register with Netwrix to access and use the Bot, and to access and use the Bot. You must be at least 18 years old to use the Bot. If you are under 18 years of age, you are not authorized to use the Bot, with or without registering. Information provided by you when registering is governed by our Privacy Policy. You are responsible for maintaining the confidentiality of your password and account details, if any, and are fully responsible for any and all activities that occur under your password or account. You agree to (a) immediately notify Netwrix of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session when accessing the Bot.

Use of AI Technology.

You acknowledge and agree that Bot includes and integrates with advanced technologies, such as artificial intelligence, machine learning systems and similar technology and features (collectively, “AI Technology”), which may be proprietary to Netwrix, Microsoft, or their third-party service providers. We refer to the text you input, and any other images, video or other content you include as part of your query into the Bot as your “Inputs”. The AI Technology integrated with the Bot may allow you to submit queries and other instructions referred to as “Prompts”. The results returned by the Bot in response to your Inputs and Prompts are referred to as “Outputs”.

You acknowledge and agree that, in addition to the other limitations and restrictions set forth in these Terms, the Bot may make errors. We are not responsible for such errors and we bear no liability to you or anyone else arising from or relating to your use of the Bot, the AI Technology integrated with the Bot, and/or the Outputs. You will use discretion and independent judgment before relying on, sharing or otherwise using the Outputs. You understand and agree that Netwrix is not responsible for the recommendations made by the Bot and you further agree that you are solely responsible to check Outputs yourself for accuracy. The Bot may say something which is factually erroneous or offensive, for which we apologize in advance (and which do NOT represent our views) but for which you agree Netwrix is not responsible. You understand and agree that Outputs are not created by any employee of Netwrix and do not reflect the views of Netwrix.

Intellectual Property Rights

As between you and Netwrix, and to the extent permitted by applicable law, Netwrix owns the Inputs, Prompts, and Outputs. You acknowledge and agree that, due to the nature of the Bot and the AI Technology generally, the Outputs generated for you by the Bot may not necessarily be unique from outputs generated for other users of the Bot. You represent and warrant that you own all right, title and interest in and to the Prompts, including all copyrights and rights of publicity contained therein. You do not gain any rights whatsoever in the Inputs or Outputs or the Bot, all rights in which belong either to us or to those entities from whom we have licensed the technology. We can cease providing the Bot at any time without notice.

Use of Content

Netwrix has the right to use any Inputs, Prompts, or Outputs of the Bot (collectively, “Content”) without compensation or attribution to you. You hereby grant Netwrix and its affiliates, successors and assigns a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable (directly and indirectly through multiple tiers) perpetual, and irrevocable license to copy, display, upload, perform, distribute, store, modify, and otherwise use Content for our business purposes, including (a) in connection with the operation of the Bot and (b) to develop and improve products and services, including use in connection with training models and algorithms.

Commercial Use

You agree not to display, distribute, license, perform, publish, reproduce, duplicate, copy, create derivative works from, modify, sell, resell, grant access to, transfer, or otherwise use or exploit any portion of the Bot for any commercial purposes. The Bot is for your internal business use and is made available to you for the sole purposes of aiding you in your interactions with Netwrix.

Disclaimer of Warranties

LIMITATIONS ON LIABILITY. THE BOT IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. NETWRIX EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. IN ADDITION, YOU ACCEPT AND AGREE THAT ANY USE OF OUTPUTS IS AT YOUR SOLE RISK AND YOU WILL NOT RELY ON THE OUTPUTS AS A SOLE AUTHORITATIVE OR VALID SOURCE OF FACTUAL INFORMATION, OR AS A SUBSTITUTE FOR YOUR OWN RESEARCH.

Indemnity

To the extent permitted by law, you will indemnify and hold harmless us, our affiliates, and our personnel, from and against any costs, losses, liabilities, and expenses (including attorneys’ fees) from third party claims arising out of or relating to your use of the Bot and Content or any violation of these Terms by you.

Changes to These Terms or Our Services

We may update these Terms or the Bot from time to time without any notice to you. Your use of the Bot after such change or after we post new terms (as applicable) constitutes your consent to such changes. If you do not agree to the changes, you must stop using the Bot.

General

These Terms constitute the entire agreement between you and Netwrix governing your use of the Bot, These Terms will be governed by the laws of the State of Delaware without regard to its conflict of law provisions. With respect to any disputes or claims not subject to arbitration, as set forth above, you and Netwrix submit to the personal and exclusive jurisdiction of the state and federal courts located within Delaware. The failure of Netwrix to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision. If any portion of these Terms is determined to be invalid or unenforceable, that portion will be enforced to the maximum extent permissible and it will not affect the enforceability of any other terms. You may not assign these Terms, but Netwrix may assign or transfer these Terms, in whole or in part, without restriction.
